Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website at https://www.tributariesEC.com and all related content, tools, and services (collectively, the “Site”) operated by Tributaries Educational Consulting (“Tributaries EC,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

These Terms apply to all visitors, subscribers, and users of the Site. If you are a paid or free member, your membership is additionally governed by the Membership Agreement, which controls in the event of a conflict with these Terms regarding membership-related matters.

1. Eligibility

Account creation on the Site is limited to individuals who are 18 years of age or older. By creating an account, you represent that you are at least 18 years old.
Students ages 13 and older may use the Site independently, including browsing content, accessing resources, and participating in sessions, once a parent or legal guardian has created the account and consented to services on their behalf. Students ages 13 and older may not create their own accounts.

Students under the age of 13 may not use the Site independently. All Site activity for students under 13 must be conducted by a parent or legal guardian on the student’s behalf.

2. Account Registration

Some features of the Site, including membership access and resource downloads, require you to create an account. When you register, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security and confidentiality of your login credentials.
  • Notify us promptly if you become aware of unauthorized use of your account.
  • Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

3. Use of the Site


3.1 Permitted Use

You may use the Site for personal, non-commercial purposes related to exploring or using our educational consulting services. This includes browsing content, accessing resources available at your membership level, scheduling sessions, and communicating with our team.

3.2 Prohibited Conduct
You agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable laws or regulations.
  • Reproduce, distribute, republish, or publicly display any content from the Site without our prior written consent.
  • Scrape, crawl, or use automated tools to extract data or content from the Site.
  • Attempt to gain unauthorized access to any part of the Site, other user accounts, or our systems.
  • Upload or transmit viruses, malware, or other harmful code.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Site in any way that could interfere with its operation or the experience of other users.
  • Create multiple accounts for the same individual or share account credentials with others.
  • Use our content, materials, or brand name to create the impression of an affiliation, endorsement, or partnership that does not exist.

4. Intellectual Property

4.1 Our Content
All content on the Site, including text, graphics, logos, images, guides, checklists, worksheets, webinar recordings, blog posts, and other materials, is the property of Tributaries Educational Consulting or its content contributors and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written consent.

4.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for your personal, non-commercial use, subject to these Terms. This license does not include the right to download, copy, or save content for redistribution, except where we expressly provide a downloadable resource for personal use (such as a guide or checklist available to members).

4.3 Trademarks
The Tributaries Educational Consulting name, logo, and related branding are our trademarks. You may not use them without our prior written consent.

5. User-Submitted Content

If you submit content to us through the Site, including intake questionnaire responses, messages, feedback, or other materials, you grant us a non-exclusive, royalty-free right to use that content as necessary to provide our Services. We will handle all user-submitted content in accordance with our Privacy Policy.

You represent that any content you submit is accurate, does not violate the rights of any third party, and does not contain any unlawful material.

6. Newsletter and Email Communications

By creating an account or subscribing to our newsletter, you consent to receive email communications from Tributaries EC, including newsletters, educational content, webinar announcements, and service-related updates.

You may unsubscribe from non-essential marketing emails at any time using the unsubscribe link in any email. Transactional emails related to your account or active membership are required and cannot be opted out of while your account or membership is active.

7. Third-Party Links and Services

The Site may contain links to third-party websites, tools, or services that are not owned or controlled by Tributaries EC. We provide these links for convenience and do not endorse or assume responsibility for the content, privacy practices, or terms of any third-party site.
Your use of third-party sites and services is at your own risk and subject to their terms and policies.

8. Disclaimer of Warranties

The Site and all content are provided on an “as is” and “as available” basis. Tributaries EC makes no warranties, express or implied, regarding the Site, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy, completeness, or timeliness of any content on the Site.

9. Limitation of Liability

To the fullest extent permitted by law, Tributaries EC and its owners, employees, consultants, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site, including but not limited to damages for loss of data, loss of profits, or other intangible losses.

Our total liability for any claim arising out of or related to these Terms or your use of the Site is limited to the amount you have paid to Tributaries EC, if any, in the 12 months preceding the claim.

If you are a member, the limitation of liability provisions in the Membership Agreement apply to membership-related claims.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tributaries EC and its owners, employees, consultants, and contractors from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

11. Privacy

Your use of the Site is also governed by our Privacy Policy, available at tributariesEC.com/privacy-policy. By using the Site, you consent to the collection and use of information as described in the Privacy Policy.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maine, without regard to conflict of law principles.

Any disputes arising out of or related to these Terms will be resolved as follows:

  • Informal Resolution: The parties will first attempt to resolve any dispute informally by contacting Tributaries EC at contact@tributariesEC.com.
  • Mediation and Arbitration: If informal resolution is unsuccessful, the parties agree to submit the dispute to binding mediation administered by the American Arbitration Association (AAA) or the Maine Association of Mediators. If mediation proves unsuccessful, any unresolved controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration administered by the AAA in accordance with its Consumer Arbitration Rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. You expressly waive your right to bring representative or class action claims against Tributaries Educational Consulting.

13. Modifications to These Terms

We may update these Terms from time to time. The updated version will be posted on the Site with a revised date. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms.

If we make material changes, we will make reasonable efforts to notify registered users by email or through a notice on the Site.

14. Termination

We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable.

If your access is terminated, your right to use the Site ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will remain in effect.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, Disclaimer, and Inclusion and Accessibility Statement, constitute the entire agreement between you and Tributaries EC regarding your use of the Site as a visitor or non-member. For members, the Membership Agreement and Refund and Cancellation Policy also apply and are incorporated by reference.
